Article I Name
This club shall be known as the Washington State Holland Lop Rabbit Club (WSHLRC)
Article II Object
The object of this club shall be to promote, encourage, and develop the Holland Lop rabbit in all its phases in the area served by this club; to afford memberships to persons interested in breeding, marketing and showing Holland Lops, and to do all things necessary to effect this purpose.
Article III Membership
Section 1: Any person breeding, or interested in breeding Holland Lops may become a member of this club by payment of yearly dues in the amount of: Single $7; Husband/Wife $10; Youth $5; Family $14. Payment must be made at the time of application for membership. Renewal of membership is due January 1st every year. Membership will be terminated if membership dues are not paid in full by March 1st. No sweepstakes points will be awarded while a member's dues are delinquent. Sweepstakes points will start on the date membership dues are received. No back sweepstakes will be awarded for members joining or renewing in the middle of calendar year.
Article IV Membership Vote
Single member - 1 vote; Husband/Wife - 2 votes; Family – 1 vote for every member of the family over the age of 18 years
Article V Officers
The officer of this club shall be a President, Vice-President, Secretary, Treasurer, and four (4) Directors. These eight (8) people shall constitute the Executive Board. The club website will include a list of nominees for the Officers and Board of Directors positions. The Executive Board shall be elected by and from the membership by ballots in November each year. They shall serve for two years starting January first. The offices of President, Secretary, Director 1, and Director 2 will be elected on odd years with the offices of Vice-President, Treasurer, Director 3, and 4 elected on the even year. No more than TWO (2) members of a household shall serve on the Executive Board. The terms of office of those elected shall begin January 1st of each year. All officers of this club shall be members of the American Rabbit Breeders Association, Inc., the Holland Lop Rabbit Specialty Club, Inc., members in good standing of WSHLRC. Vacancies in any office shall be filled by appointment by the President, subject to the approval of a majority of the Board of Directors.
Article V Officers (continued)
The PRESIDENT shall preside at all meetings, act as chairperson of the Executive Board, appoint all committees, call special meetings of the Club or of the Executive Board, perform other duties as usually pertain to the office, and have such other powers as may be conferred upon the President by the Executive Board.
The duties of the VICE-PRESIDENT shall be the same as those of the President in the even of the absence or disability of the President.
The SECRETARY shall keep the minutes of all club meetings; keep a record of membership and take responsibility for all correspondence.
The TREASURER shall collect all monies due the club; keep an accurate record of these funds, pay club bills as directed by the Executive Board; and report these actions to the Board and membership at each meeting.
The DIRECTORS shall have charge of the business affairs and transactions of the Club. They will make contacts in the name of the Club, interpret any rules, regulations, and the By-Laws of this Club with the majority vote of the Executive Board. A simple majority of the Executive Board shall constitute a quorum. Any Officer or Director who misses three (3) consecutive meetings shall be replaced by an active member with the approval of the Executive Board.
Article VI Meetings
This club shall hold meetings at our shows when necessary. A majority of the members present, with a majority of the Executive Board shall constitute a quorum. The order of the meeting shall be:
- Call meeting to order
- Reading and approval of minutes of previous meeting
- Treasurer’s Report
- Committee Reports
- Old Business
- New Business
- Good of the Order
- Adjournment
By Laws
Article 1. Executive Board Voting Procedure
The entire board shall be polled on all official club business that usually pertains to the Board. Voting shall be done by mail ballots, at meetings, or phone voting will be allowed in emergencies. Votes to be recorded for club records.
Article 2. Disbandment Procedures
If the WSHLRC should cease to be a viable club, all debts and bills are to be paid in full. Any remaining funds and assets will be donated to one or more of the following: Youth rabbit activities; 4H rabbit youth groups; ARBA rabbit disease research; Zoo’s and/or wild animal sanctuaries.
Article 3. Amendments
This Constitution/By Laws may be amended by a simple majority of all votes cast by mail, providing all members are notified by mail at least thirty (30) days prior to voting.
